New cpu and motherbored help

i am looking for a new cpu and motherbored i only have around $200 to spend on this. here is what i was thinking.

AMD Phenom II X4 965 Black Edition Deneb 3.4GHz Socket AM3 125W Quad-Core Processor HDZ965FBGMBOX

BIOSTAR A780L3B AM3 AMD 760G Micro ATX AMD Motherboard

and i need new ram so i added this

ADATA XPG Gaming Series 4GB (2 x 2GB) 240-Pin DDR3 SDRAM DDR3 1600 (PC3 12800) Desktop Memory Model AX3U1600GB2G9-2G

will this work together?
any tips, info, or anything input would be great thanks.
