Newegg has the first one, Frys has the second one. They are about the same price. Which one is preferred?

My goal is to put an E5200 on it, overclock it a lot, HD 4650 GPU.

Newegg has both. I'd go with the GA-EP45-UD3R because it's newer and a bit better. It also includes eSATA. You can compare them at http://www.gigabyte.com.tw/Product [...] =2921,2898
