what is the best cpu I can upgrade this with and bios upgrade I assume?

Normally notebook CPUs are not upgradeable.

Actually, the acer 5315's CPU is relativley easy to upgrade,

It's 965GM so it's compatible with any Socket-M CPU of 800Mhz FSB or less as mentioned in notebookreview's forum. That includes 45nm ones as well.
