What you've done here is pretty much describe every socket 775 motherboard there is on the planet right now - that being said seeming as you've a pretty old CPU it'd be hard to recommend a mobo that would still work with it. I mean you could possibly try and find a 945 or 965 chipset motherboard (an Asus P5B could probably do the job, its a 965 chipset).

Best thing to do really would be to just replace the CPU with a low end Core 2 Duo and mobo combination. An E7300/E5200 Intel Core 2 Duo with a P35/45 chipset would do you wonders, it shouldn't break the bank either.

For now, get one of the ASUS P5Q series + an LGA775 bolt-thru-kit
from Sidewinder Computer Systems:

(Gary their salesman is a great guy too!)

Intel's P45 chipset is very mature and very stable,
with lots of room to grow later e.g. 45nm Core 2 Duo or Quad.

We did this recently with an Intel 640, and the BIOS reported
a CPU temp of 75 degrees F. So, "Presshots" got a bad rep
solely because of the faulty push-pins on Intel's stock HSF:
