The motherboard I'm thinking of getting for the MD Phenom II X4 940 Deneb 3.0GHz AM2+ 125W Quad-Core Black Edition is this motherboard:

One thing I'm confuse about is the limit for the DDR2 memory it says:

DDR2 1066*/800
*Due to AMD CPU limitation, DDR2 1066 is supported by AM2+ / AM3 CPU for one DIMM per channel only


Would something like this be fine?

Yes its fine. What this *note means is that you can only run one module per channel at SPEED of 1066, so with two sticks youre fine. When you add another two in future they will all run at max 800.
