What motherboard do you have?

Is the 4/8 pin CPU power cable plugged in?

motherboard is a Asus p5be
I ran it w/o any ram and it gave me 3 beeps ( one long two short ). then put one stick back in and no beeps.

It's most likely a BIOS issue. The P965 chipset does not officially support the 45nm CPU's like your E8400. There are some beta BIOS's availabe, but you would have to get a 65nm CPU in order to flash the BIOS. That motherboard is a pretty old model. There have been two chipsets since then.
