amd athlon 64x2 dual core 5200+..... don't laugh, is it crap? if so what would you recommend for gaming?

Actually it was a pretty respectable dual core processor.

would I have to upgrade my motherboard if I go with the Phenom II? Currently I have an ASUS M2N32-SLI Deluxe.

Your motherboard is an AM2 motherboard. Your motherboard could work with some versions of the Phenom II cpu's if ASUS provides a BIOS update that includes support for Phenom II processors. You will have to flash the BIOS. Check the ASUS web site to see if they have an appropriate BIOS update.
