Both are 939 (because I don't have the money to upgrade to an AM2 mobo), so it should fit, but will it cool the CPU sufficiently?

I don't see why not. Most socket 939 and AM2 heatsinks/fan are compatible.

My heatsink & fan came from my old 3400+ (s939). I'm using it now on my X2 3800+ which I have overclocked to 2.6 GHZ.
