hi, i own an Intel DG31PR and im thinking of swapping it for a Gigabyte GA-EP35-DS3L. i think the gigabyte is better, if so, how much should i add to make the deal fair?

If you are not planning on overclocking, you will see absolutely no performance difference between the two boards.

i'd overclock. thats why im want to trade it, bec my board doesnt overlock in any way.

As you are trading a working board for a nearly two year old midrange board, I would not spend more than $25-30 on it.
A highly overclockable motherboard with similar features is not very expensive right now.
For around $80 on newegg you can locate a new ASUS or Gigabyte P43/45 motherboard with a newer chipset and similar features/overclocking.
