MSI G31M3 V2 + Palit 9600GT 512MB

I have an MSI G31M3 V2 motherboard and I am looking for a reasonable video card (I don't have one currently).

I found a reasonably priced Palit (GeForce) 9600 GT 512MB card, but will this card be ok in my motherboard?
The 9600 GT is a PCI-E 2.0 card but I think my motherboard is a PCI-E 1.0, is that a problem? (yeah, i'm a noob)

The only thing stopping me using the 9600 GT that i can see is that my powersupply is only 350W (or is that enough?)

Perhaps I should elaborate on the PSU:

I have a 350W PSU with a 19A +12V rail.
My system is:

DVD writer
7200RPM seagate barracuda HDD
Intel Core 2 Duo E7400 (2.8GHz)
2GB DDR2 RAM
No PCI cards (though looking to add the 9600 GT)
