The formatted capacity of an HD is always less than what is stated as the size.
1) they measure different, 1,000,000,000 bytes/gb (manufacturer) vs. 2^30 for windows
2) formatting itself takes up some space

if you look at it in windows disk manager, what do you see? is the whole thing in 1 partition?
Could have some bad sectors marked if you've had problems, as well.

alot of drives have default space allocated to settings and stuff-although 12 gb is alot :|

If vista or win7

Go to control panel

Go to advanced settings

System protection

uncheckmark all the drive and click apply

once it is done click again to enable and apply

You should have gained some space if there is any restor point or shadow copies.
