The main difference are the notch layout for the memory modules are different so they will not physically work in each other's memory slots. DDR2 also like to use higher voltages, but most modern motherboards now, have a wide range of vdimm voltges that this isn't a problem at all.
DDR3 typically start at 1066mhz, and have kits as high as 2000mhz.
