I currently own the Phenom II X3 720 (stable at 3.5). The price has just dropped on the X4 940 so that it is only $40 more. I am still within my 30 days on this 720 so i can exchange them.
I do mostly office and desktop stuff (no video editing or cad cam) and play games. I also have a 4890 video card.
So the question is, is it worth the extra $40 to upgrade to the 940 or would i see no practical difference other than a useless higher 3DMark06 benchmark?
Some benefits to the 720 is that it already works with DDR3 Memory and runs MUCH MUCH cooler (20C) at lower wattage than the 940 (95W vs 125W).
I'd stick with the 720, its a newer AM3 processor, and definitely overclocks better. You won't see any real difference in games with the 940, since most can't use more than 2 cores.
If you wanted to upgrade though, the 955 was just released.

Yeah from what i have seen, in games anyway, there is little difference between even the 955 and the 720 in playable framerates. However, I disagree that the 720 is more overclockable.
Cpu temp can vary for a lot of reasons. His ambient room temp may be higher, he may have a crappy cooler, his computer may be clogged with dust, he may not have enough ventilation, etc.
