I would want a better motherboard. This one is cheaper and better. I think Intel charges way too much for their boards just because it has the Intel logo.

That processor you selected comes with a heatsink, you don't need another one. Retail versions come with heatsinks, OEM versions do not.

Better Case/PSU Combo, $2 more after rebate. That PSU that comes with that case isn't very good and it could fail, which is catastrophic to your PC. This one is much better.

I would want a better video card, that one is kinda the bottom of the bottom, and not really worth $25 dollars. I'd feel ripped off if I paid more than $10. Look at getting like 9400 GT or HD 3450 or something.

Yes it would work, but like I said you are wasting money on that video card and Vista Ultimate, unless you have a specific feature in mind that only Ultimate provides. Most people just go with Home Premium, or if they are on a tight budget, home basic. If you just want something that has minimal video capabilities, look at a board with integrated graphics, such as:

That processor is also probably a little bit better than the E5200 and you could overclock it easily since its the Black Edition. And the motherboard and CPU would both be compatible with the other options I provided, or the ones you originally proposed.

If you don't like the look of the case I found, then there are others you could look at, but the PSU is very important to the computer. If you get a cheap psu like the ones that normally come in those combos, it has a high probability of failing and when psu's fail they can destroy everything in your computer too. I suggested that combo because its cheaper, and very high quality. If you want a flashier case, I suggest you buy the PSU separately.

Those are all good power supplies and then you can buy a case separately that is more to your liking. However if you don't mind too much about how it looks, that first Case/PSU combo that I showed you is a great deal and I would suggest you go with that.
