EDIT: Further work has confirmed that not only is the processor actually slower than my current one, but that the mobo's entire usb interface may be shot as well... so this one is a no-go either way. Thanks!
A socket 939 cpu is not likely to be faster than the cpu you have . The ram is slower and unless you have a 64 bit OS you cant really use all 4 gigs any way .
But it could be a good basis for a NAS device or media server
