The only main different is that the g41 support more ram and has a little better gfx. I plan to put a e5200 4gb of 1066 ram in this mobo. I will evenetually plan to buy a gfx anyway. My concern is whether the newer board g41 will give me better result when OC. Also, will I be able to put ddr2 1066 ram into these board ? thanks in advance!

The main difference that jumps out at me is that the 41 supports PCI-Express X16 (X16), while the 31 is limited to PCI-Express X16 (X8); but, the 31 lists higher overall speeds: Dual Channel, DDR2 1066(O.C.)/800/667, & 1600 (O.C)/1333/1066/800 FSBs, versus the 41's Dual Channel, DDR2 800/667 MHz, & 1333/1066/800 MHz FSB. If it's for an HTPC, the fact that only the 41 gives you SPDIF I/O may be a factor, as well, if you intend to feed a receiver, or digital audio to a TV...
