And same warranty? Same clock speed? Same memory clock?

Ah...OK...Right.
In order of importaince to me...Warranty, these can be expensive items so get the best protection you can. Cooler, if one has a quieter or better cooler that`s the one to get, particularly if one exhausts its heat out of the case and the other does n`t. Bundle of free goodies, if one has a game or other piece of software such as a DVD player you lack or want, then get that. Speed, unless there is a very large overclock on one card ignore it, even `high` overclocks usually translate into a few FPS in the real world.

Dont get a 9800GT, they run really hot and the fans are airplane loud. The 8800GT was a better card.

9800gt and 8800gt are all the same. there is absolutely no difference between these two. so get the 8800gt because it's cheaper than 9800gt. i think gigabyte 8800gt 512mb will be the best. (oh, i love my gigabyte mobo)

thanks.
