Hi, I'm trying to upgrade mobo due to sata connector is blocking the highend video card room.

This is my PC that I bought several months ago..

Do I need to buy another heat sink for a new mobo?

and this is the mobo I'm trying to replace with...

One more thing, Would my stock memory ddr2 800mhz decent enough to Overclock once i get the mobo?

No. The p45 board is atx format; your case only works with micro atx boards.
