I know i'll look pretty stupid asking this but i had to ask.

While building a PC I was reading through some builds and found that using Microsoft Windows 7 Home Premium SP1 64-bit - OEM
for 99.99 dollars on newegg is ok on a build instead of the 200 dollar home preium version what is the difference between the 2?

I don't know if Microsoft changed their policy, but I used to call them and have them re-activate codes for me when their software said I couldn't install my software. This was probably 8-9 years ago.

Even then, paying an extra $100 in case my motherboard breaks after warranty isn't worth it if I can buy another OEM copy for $100.

Now, if you build a new PC every 1-2 years then it would be worth buying the retail version. Personally, I've always kept my PCs long enough that I'm not worried about transferring the license.

i don't see upgrade the CPU unless i go to a i7 or the memory which is pretty good where its at would help although i still spent the money 2 weeks ago on the 200 dollar version lol.

I am just now in process, have chosen 2600K. I was thinking about i5 2500K too, but at least it is latest and so far fastest in $300 range. I was alsoo thinking about new SB-E due in mid Nov. But I am not a series gamer, so there was not enough +++ in it. USB3 fell through so...

Decent set up, u have. Or spend that money on decent dinner with your significant other.
