My USB wont format

Hello, whenever i go to format my USB it says 'WARNING: Formatting will erase ALL data on this disk. To format the disk, click OK. To quit click CANCEL.

When i click on okay Nothing happens. Oh and where it says file system and allocation unit size there is nothing there. Im using Windows XP

Have you tried to format on another computer? Are you trying a full format or a quick format?
