Open MSConfig, go to Boot.ini and open Advanced Options. See if there's an entry for MaxMem. If there is, remove it, exit and reboot.
If that doesn't work, post again.
In addition, if you have an integrated graphic card, it may be using a lot of your system RAM which would reduce what's available in Windows. Look in your BIOS to see how much is reserved for this use.

Damn.. i found the problem, its my mobo, its limit is 4gb so the graphics card takes up from the 4gb, which is all i have. If i had a mobo that supports something like 8gb, the card wouldnt have taken this memory from the 4gb..
