I recently upgraded the SDRAM in a computer that I just built. I have had problems with the thing rebooting by itself, and I have been troubleshooting that. I noticed this morning that a DIMM that I took out of it (SDRAM) has a burned spot and a spade bent out of shape on it (10 pin positions from centered slot, pos 40). Will this cause terminal failure of m/b?

from others people experiences, if u got memory burned on your m/b then your m/b too...
Just check it more for sure, if u took out your SDRAM from u're m/b, what happen to your m/b?
Will it make sounds "beep"?

Yes. I've used the m/b again and it works. But, I replaced it with a MS 6714 to upgrade the processor, but it won't power up at all. Got any ideas?

I've had analysed 'blackened' DIMM where one of the copper connectors was 'blackened' but it still passed memory tests and continued to work. Try to scratch the black surface to make sure it can conduct power signals. But generally its not a good sign. :)

Try to lower the voltage. Did you overclock/overvolt the memory?

I think the board is just junk. It will power up, and I loaded XP again. But, it keeps restarting, over and over again. What's up with that?
