As long as your CPU is 64 bit supported.. then it should install.. and I believe the E5200 does support 64 bit.

So yes, it should work.

Oh lord yes. I installed Win7 64-bit on an old system with a single core Athlon 64, 2GB of severely mixed DDR RAM, and a Geforce FX 5500, and it is still smooth as silk.
