The platinum has lower voltage and tighter timings, the ram mentioned by shadow is designed for triple channel i7 setups, these two are dual channel kits.

Just to to let you know the 940 CPU you have listed will not plug into a GIGABYTE GA-MA770T-UD3P AM3 Motherboard.

But the new AMD 550 PHENOM II X2 or the 955 X4 CPU will work in the GIGABYTE GA-MA770T-UD3P AM3 AMD 770 ATX AMD Motherboard
