GIGABYTE GA-EX58-UD5 shutdown issues

I just built a system with the following components:
Intel Core i7-950 Bloomfield 3.06GHz 4 x 256KB L2 Cache 8MB L3 Cache LGA 1366 130W Quad-Core Processor
CORSAIR DOMINATOR 6GB (3 x 2GB) 240-Pin DDR3 SDRAM DDR3 1600
COOLER MASTER COSMOS 1000 Case
PC Power and Cooling S75QB 750W ATX12V / EPS12V SLI Certified CrossFire Read
GIGABYTE GA-EX58-UD5 LGA 1366 Intel X58 ATX Intel Motherboard
Geforce 8400GS graphics card
PLEXTOR 8X BD-ROM 16X DVD-ROM 48X CD-ROM SATA Internal BD Combo Model PX-B320SA optical drive
Western Digital VelociRaptor WD3000HLFS 300GB 10000 RPM 16MB Cache SATA 3.0Gb (2)
Running Windows 7 64 bit.

When I shutdown either through selecting the menu item or issuing the command shutdown -s, the PC shuts down and then reboots!

How do I fix this?
I have the latest BIOS for this motherboard.

So after scrutinizing my BIOS settings I came upon one called PME Event Wake Up (allows wake up from PCi or PCIe device). I guess my graphics card wanted company! Disabling this feature fixed my problem.
