PC upgrade under 400$

Hello!

I currently own AMD Athlon 64 4000+ (@2.8 Ghz), Nvidia Nforce4 MB, 2x1GB DDR (400mhz) Ram, GF 8800 640 GTS.

I'm willing to spend about 400$ on an upgrade. I will be keeping my video card, but want to change MB, RAM and CPU.

Computer is used for various tasks including gaming. I am well aware that I can't get cutting edge hardware for this sum of money, but would like to get the most of it. Also if there is a build which is slightly more expensive I might consider it eather.

And a little sub question — will my PC benefit greatly from such upgrade or should i wait for while?
