Get which ever is less expensive.
Both cards perform nearly identically.

What about cooling? Will I have probs with XFX 4850 ?

The XFX 4850 looks to have a dual slot cooler.
It will stay plenty cool.

Are you sure? I will get XFX 4850 non "xxx' version... What about quaranty?

XFX has a double lifetime warranty if you register it within the first 30 days online, meaning you have a lifetime warranty and who ever you sell the card to has a lifetime warranty too.

AFAIK all of the XFX 4850s have the dual slot coolers, i cant get mine to break 65 at full load using furmark, it stays plenty cool.

Yes, it will be fine.
As stated above, the XFX card has a double lifetime warranty so no worries there.
