Upgrade dual core no post asus a8n-sli premium

I have a A8N-SLI Premium mobo. I just got a new AMD 64 4200 Dual core Processor to replace my 3500 Single Core.

I flushed the CMOS and have the latest (1303) bios. When I boot with the new CPU I get the 1 long, 2 short beeps with nothing on the screen. According to ASUS that is a RAM problem. I've tried all sorts of configurations with my RAM as well as cleaning them. I also reseated the video card (just in case). Still nothing... 1 Long and 2 short. I put back in my old 3500 and everything boots up fine.

Any chance this is anything besides the 4200 being bad?

Set the bios to default settings. You probably have a multiplier or default RAM speed wrong, setup for the old chip.
