Motherboard $ cpu compadibility

i have a foxconn A76ML-k motherboard 95watt max cpu amd 760G /SB7100 Chipset Supports HT 5.2G Supports AM3/AM3+/AM2 phenom ll ,phenom, athlon CPU
2x DIMM DDR2- 1066/800/667 4GB max memory.
what i have for a cpu is a AMD phenom ll x4 945 3.0Ghz true quad-core 8mb total cache;AM3 i think it is 95 watt.
i also have a AMD phenomll black edition x4 940 3.0GHZ true quad-core 8.0mb total cache socket AM2+ i think it is 125watt. now i am not shure if the 940 will work ,the board bing 95watt.will the 945 work bing 95 watt, or did i need to dump the board for something better . if so any ideas on a moderate priced mother board that will work with the best of the two CPUs. thanks for your help.
 
Newegg has the foxconn cinema premium series 785 for $90 after rebate with alot of standard features. If you still have your old windows installation with the a76ML board, you may be able to avoid a complete format and save your old files by using another foxconn board. If you don't mind a format and want to overclock, then the same chipset in msi, asus, or gigabyte will overclock better. Some 785 boards use ddr3, so order carefully since ddr2 and ddr3 aren't interchangable.
