What to upgrade? (45 minutes)

I want you to give me your advice on the best upgrade for my system please!

Current stats:
AMD Athlon 64 X2 Dual Core 5200
3gb of ram (1 stick OCZ2G8002G 1 stick M3 78T2954EZ3-CE6)
Asus 9600 GSO 128bit a2-96sp 512mb ddr3
K9N6PGM2-V mb

I basically browse the web, download stuff, and play COD:MW2 and Fallout 3.
Both games are OK but lacking on the current graphics card.

I overclock my PC using Ntune and Rivatuner.
Stable I have the FSB at: 216mhz
PCI-E: 2850mhz

Graphics card: 622/1555/804mhz

The cpu does seem kind of slow, but mostly the frame rate in video games bugs me.

I am thinking of upgrading to this eVGA 9800 GT superclocked http://www.memoryexpress.com/Products/PID-MX23282(ME).aspx for $139.99

Or is there something else in that same price range ($100-$160) that would be a better choice to upgrade then the video card? If you are going to recommend something, PLEASE pick an item from the site I linked so I can know if it is in stock/not wait/etc/etc.

hello, i would say to definitely upgrade vid card. get this

if either of those are out of stock, then get something similar, also considering throwing in the extra 20 $ for a 4870.

Crap, I forgot to post I do not really have room for a 2 slot card.
On the 2nd slot, about 7" down the SATA connector is there.

That is also a limiting factor in the graphics card, it cannot be a square enclosed 2 slot style, it won't fit, the SATA cable will be in the way.
