Motherboard recommendations

I am looking to renew my older machine with some newer parts and W7. My first and foremost is a mobod. I am only going to use this as a machine that hosts music for my Russound cav6.6 and also as a backup storage device. Does anyone have a recommendation for a mobod under or around $100?

I really don't care if it is 775 or not. Just a good dependable board that works. And it will fit in my atx case.

I have an ati 4850 already, so no graphics necessary.

Oh,yes. It is a 939 board with an old 4400+ amd. I want new ram and cpu also. Sorry. Amd or intel does not matter. I already have a 4850 video card, sound card so those things don't matter on the board. It is hooked up to a Russound whole house system and communicates with it through RS232.
 
Ok, now I need know your TOTAL budget for CPU, Mobo and RAM.

Also, bear in mind that the new mobos don't have the RS232 port, so, you will need find another solution for connect your Russound system.
