ok i just bought a new motherboard for my new processor and i just bought new ram... my new mobo requires Memory Standard DDR2 1200(O.C)/1066 Ram my Ram is PC2-5300 will this ram work??

What is the motherboard model?

PC2-5300 is ddr2 667. It likely won't work. But you can check the memory support list to be sure. It's not a complete list, but if other ddr2 667 RAM is supported, it will work.

I'm guessing ddr2 800 is the slowest that will work.

It does support DDR2 667. Though the price isn't much different between ddr2 667 and ddr2 800. I'd go with a little faster RAM if I were you.

The RAM will work just fine. The RAM speed ratings are just the maximum speed the manufacturer will warranty the RAM to run at. Anything below that will be just fine.
