Ok this is the deal, A friend wants a new PC so i tryed to talk him into a i5 750 but he is set on a C2D. So the long and short of it is he is getting my PC Specs in sig - the case replaced with a CM 690.

New spec
p55-UD4P
i5 750
Corsair 750
4 gigs G skillz ripjaws 1600 7-7-7-24
HD 5850
WD black 640 < went with this over the samsung F3 500 because i got it with the case as a combo for 99 for both
samsung DVD 22X
Win 7

I will have to pay 287 + a HSF less i can use my dark knight ? i heard you can get 1156 brackets for them, but i will have to look into that.

And also with some reviews about the boards blowing up OC do you think even @ stock speed with the turbo boost it will out profrom my E8500 @ 3.8 ?

Just trying to make sure before i make the deal.

E8500/3.8Ghz should be faster than i5 750/2.66Ghz in most circumstances. Exceptions would be some audio and video applications that can put 4 cores to good use.
But the P55 problem only occurs during extreme overclocking attempts (above 4Ghz). You can read about that situation here

So if i OC the i5 750 to 3.2 that would be sweet

I am paying 280 so we can say the GPU

So what do i get for the deal

I am back to the speed of my stock E8500

Pros
DDR3
a board that can SLI/xfire
a 750 PSU that will xfire/sli
a quad core / that might help in photoshop and some games


Would you do it or just add a HD 5850 to my setup ?

I don't think it is currently worth upgrading to the i5 in your case. Just add the 5850 and you'll be good to go. The E8500 is still an awesome gaming CPU. I would only upgrade to either the i7 860 or i7 920 with your current setup to see any real benefit for you once you overclock.
