Hi all, i currently have a socket 775 ddr2 motherboard and i am wondering is it worth to upgrade to just for DDR3 memory? It's probably going to cost me around $70 for mobo and ram combined.

Nope DDR3 ram is only slightly better than DDR2, you get more performance out of a newer CPU, A LOT MORE PERFORMANCE in fact. If you lacking ram for what your doing and have enough CPU just get more DDR2 ram, thats what I just did, I just picked up another 2gb, unfortunately I accidently bought a single 2gb stick and not 2x1gb, guess thats what I get the one time I didn't double check my order. Oh well still a big improvement having more ram even if thats not in dual channel anymore.

Well my CPU is fine, its a Core 2 Quad Q6400. Its probably going to last me the next few year ( hopefully ). I do have 4GB ddr2 667 Mhz installed, i have 800 Mhz ddr2 also but my motherboard doesn't support it.

LGA 775 is long out of production so I wouldnt suggest throwing money into that system. Yes, this makes me sad too. At this pont It would be best to save the money for your next build and hold onto that one. By the time your forced/ready to upgrade you could probably still use that as a media server or mass storage server.
