The CPU Support List for my motherboard has the AMD Phenom II X4 945.
http://www.gigabyte.com.tw/Support/Motherboard/CPUSuppo...

The motherboard is a Gigabyte GA-M57SLI-S4. Which is a Socket AM2.
I have the latest BIOS installed (FHK).
What kind of performance hit would i be looking at since its an AM3 card in a AM2 board. Will it be hugely different than benchmarks?

no, there is virtually no bottleneck at all using an am3 chip in an am2 board.

Am2 does not support DDR3 RAM, AM3 does...so if you would consider the diffrence a diffrence, that is how it would influence your performance.

Well, there is a small performance hit associated with the lower HT speed. Basically AM3 CPUs set their HT link down to 1GHz when on an AM2/AM2+ board. For gaming though the difference is generally within the margin of error. I believe Hot Hardware did an article a while back show the way HT link speed affects performance in different situations. You can always raise your HT link multiplier in the BIOS. Of course, test for stability each time you raise it and lower it back down if need be.
