so what do u think? any incompatibilities? what components should I choose? thank you!

mobo:GIGABYTE GA-EP43-DS3L, IntelP43, Sk775
cpu: INTEL CORE2 QUAD Q8400, LGA775, 2.66GHz
Initially I opted for the phenom2 940 3.0ghz ... from what I've seen the q8400 is better for gaming... am I right?
video: gtx260 or a gtx300 or a hd5850
case: THERMALTAKE VC2000BNS MAMBO or antec three hundred

The socket 775 is dead as a dodo. I wouldn't stick with it. The AM3 platform has some great value for money. Try to get a 945 (non overclocking) or 955 (overclocking), they're great and upgradeable. If that's out of budget, try to get a good AMD triple core. Both use an AM3 socket

hd 5850 for sure (gtx 300 won't be with us for the next few months and will almost certainly be a lot more expensive. A 260 is outdated, weak and doesn't support DirectX11.

Where's your RAM, HDD,...

The Seasonic beyond any doubt. At least that's a good brand.

Keep in mind that I do not want to OC!!!

I can wait for the gtx300...there is no rush... already have a video card, an inferior one though...

dx11 is baloney... those effects can be achieved with dx10 or even 9 ... I've seen it in a STALKER mod...

Gaming performance is more heavily dependent on GPU (Video Card) and RAM than on CPU choice. This doesn't mean that the CPU isn't important, but it's not the most critical component.

DX 11 is not worth it now, but in one or two years time, it's gonna be essential. 2GB RAM is not enough for gaming anymore, get 4GB DDR3 RAM. It's 2009, not 2006. Don't wait for the GTX 300 series. They'll be expensive and since you're already spending far too little on RAM memory and a CPU, you shouldn't be spending as much on a GPU either. Balance, ever heard of that?

These Seagates aren't great performers for their price tag. Get the Samsung Spinpoint F3 (500GB or 1TB). Faster and at a modest price.
