Both cards are dual slot. The second card has an inferior cooling solution but since the 5770 barley produces any heat it really is not an issue. Get the first one if you are going to get a 5770.

The cooler is different. First one expel hot air outside of the case, while the second one jsut put it back in the case. Because of that difference, the first one takes 2 slot in the back of your computer, while the first one only takes 1.

Unless your really need the space (like if one pci slot would be covered by the cooler), I would personally take the first one.
 
Apart from the cooler, they are the same.
Unless you have a very small, cramped case either cooler will be fine. My previous 8800GT had a cooler that dumped its heat into my Coolermaster Centurion 5 ATX mid tower case and I had no problems with heat build-up, and the 5770 produces less heat than a 8800GT.
From experience the reference cooler is both cool and quiet, I cannot hear it over the PSU/case fans, even under load, and my rig is hardly loud anyway.
Get whichever one looks best;)
