If it's an HTPC then you might as well buy the second one, simply because the only real difference between the two is that the first has a heatspreader which won't really help considering I doubt you'll be overclocking an HTPC, and it runs at slightly lower voltages (1.35V compared to 1.5V). Just go for the second kit, because I don't think you'll need 4 GB - 2 GB should be more than enough.
