G41mt-d3v overclocking problem

i have a Intel Core 2 Duo E8200 i cant move the frequancy past Freq : 2720.09 MHz (340.01 x 8) standard is 2.66ghz (333.00 x8) if i do it wont boot it just cuts off.
the motherboard is

MB Brand : Gigabyte
MB Model : G41MT-D3V
NB : Intel G41 rev A3

and

GPU Type : Radeon X1950 Series

psu cit 500w

and ram is

RAM : 4096 MB DDR3 Dual Channel
RAM Speed : 544 MHz (5:8) @ 8-8-8-20
Slot 1 : 2048MB (10700)
Slot 1 Manufacturer : Corsair
Slot 2 : 2048MB (10700)
Slot 2 Manufacturer : Corsair

is it coz of the g41 chipset unable to cope with ovetclocking it or is there something else i am missing i have disableys c1e and speed stepand i cant change the core voltage

G41 is not meant for overclocking, it has integrated graphics and it's micro-atx.

You could try changing your fsb/dimm ratio so that the memory runs at or under it's rated speed, this could be the reason for your failed overclock.

Gigabyte g41 can overclock just fine

i have tried everythin fsb standard is 333.00 x8 most i can change it is 340.00 x8 if i move it to 341 and it just cuts off before monitor is gonna turn on and then reboots i tried changin memory speeds i think it says rated 1333 and its at 1035 or somethin like that i tried changin voltage but wen i boot up cpuz says its at like 1.03
