2.5gb 667 ram upgrade to 4gb 800

I have windows 7 professional 64bit with 3 sticks of ram installed, 2 1gb and 1 512mb. I just ordered http://www.amazon.com/Patriot-PGS24G6400ELK-Pc2-6400-Enhanced-Latency/dp/B002HJBK5G/ref=sr_1_36?ie=UTF8&s=electronics&qid=1284604813&sr=8-36 , will I see a big performance increase in games and system responsiveness?

current system-
Gigabyte MA785GM-US2H mobo
AMD 435 X3 running at 3200mhz
2.5gb ddr2 667mhz ram OC to 737mhz
9600gt OC edition
500gb 7200rpm hard drive

Also, will this ram give me more overclocking head room for my cpu?

Yes,many games benefit from more than 2GB RAM.
Make sure you have a 64bit OS though,in order to fully utilize 4GB.

It will give you more room, as you can drop the ram multiplier and increase the procs bus speed so you could keep the ram running @ 800Mhz at higher speeds. These are also 1.9v sticks so gives you room to add more voltage to increase speeds.
