You can use your old DDR2 so long as you have an AM2+ board

re 945/955 depends on whether you overclock, price difference, and what mobo you have.

You can buy an AMD Phenom II X2 555 Black Edition + GIGABYTE MA785GM-US2H and keep your DDR2 modules. With that mobo you will be able to try to unlock the aditional 2 cores to become a Phenom X4 555.
I would suggest you to buy the following heatsink: COOLER MASTER HYPER 212 PLUS.
All this for 180€ aproximately.
Take in mind that with that mobo you won't be able to do cf because it only has one PCIex16 slot. For doing cf you should buy the Gigabyte GA-MA790X-UD3P (is DDR2 too) for 25€ more.

since you are not looking to push your system for the highest possible performance, stepping down to the Phenom II x4 945 is fine. In fact you probably wont see much difference between the two, see the benchmark below. In fact the 945 uses less power and should run cooler. The 955 makes a better CPU for over clocking. You can also keep your DDR2 RAM as long as you use an AM2+ motherboard, as previously stated. I would not purchase the x2 555 since you are set on a quad core and there is no guarantee the disabled cores will work.

940 vs 955 (there was 945)
