Cpu Problem

I have bought new cpu ( intel core 2 dou e8300 ) and my old cpu is ( Intel p4 630 ) and my mainboard is (Gigabyte GA-P35-S3G)
when i installed new cpu and turn on my pc I just get mainboard logo, and freezes there. I can't even enter bios and stuff...What do you think what is the problem ?

Use your old cpu to check the "cpu support" section on your board's webpage and be sure your new cpu doesn't need a bios flash to operate.

No bios was flashed before i have installed new cpu, d problem was in memory :S i had 2 memory cards 2X1GB same cards on 1 card that new cpu work but on that 2nd wont work but memory was same ... :S
