Upgrade MS-KT2 system

Hello,

I have slow KT2-Combo MS-6764 ATX motherboard, limited memory and an older video card. Would like to move up to Windows 7. Am total novice but would like to upgrade computer myself. Would a new motherboard, video card and additional memory work? If so, recommendations, please. Not a gamer. Thanks
