my Cpu is a AMD Phenom II 1045t X6
Mobo Gigabyte 78LMT-S2P
i have a aftermarket cooler

i tried overclocking from 2.70 ghz (stock) to 3.1 ghz, i went in BIOS and changed FSB from 200 which is 2.7ghz to 225 and it showed the clock settings changed, but in task manager on win 8 it shows it went down to 2.65 ghz??? i disabled turbo boost as well and the AMD cool and quiet thing.

Use CPU-Z to monitor frequency and voltages not task manager.

Did you disable C1E and set windows power management to performance mode (also under advanced here make sure cpu is set to 100% for min and max).
