Same sentiment as Belial, but not as hardcore :lol:.
If you dont know much about overclocking, dont intend too push the chip far and don't want water cooling other benefits (silence, awesome factor), then there's no reason too.
If you need/want something better than stock, get a 212 EVO. Its enough to get a 3570k to 4.2Ghz easily, which IMO is as fast as you need a CPU to run unless your doing heavily CPU dependent activities. Beyond that I don't see much point other just why not.
If you dont qualify for the watercooling things I said above, same goes for high end aircooling.
