windows 7 x64 freezing. have event log. help plz

hello all. I have searched online and done all the troubleshooting i could find.

My computer freezes randomly. could be 3 times a day, could be one time a week.

in the Event Viewer i am showing Critical, then the time and date, Source "Kernel-Power", Event ID 41, Task Category (63)

what i can do to fix this?? could it be the GPU?

below i have included the details of this error.

windows 7 x64 pro
MSI 790FX-GD70
AMD 965 3.4 quad
4 gig 1600 mushkin ram
1000w rosewell PSU
dual 1TB WD HD Raid 0
nvidia 9800 GTX 512
antec 1200 case
after market CPU cooler.

From what i can tell my system is not overheating.
