Inexpensive ADM Quad Core Build

I'm quite familiar with Intel Builds, but I'm looking to build a system now an AMD system looks like it may be closer to my budget. I don't have an exact figure, but less is better.

This system will be used for a VMWare/Hyper-V Lab Setup.
It will be hosting a number of virtual machines.
Performance is top priority.
Integrated Graphics will be fine. Zero Games.
8GB of memory is the minimum requirement.
If you can someone figure out a way to get more than 8GB on a system w/o a crazy cost, that is great.

I do not believe I need a Case or PowerSupply.
I have an unopened Sonata III case I bought about a year or so ago on a sweet pricing error deal :>
Mouse/Keyboard not required.
Do not worry about HDDs, DVD-ROMs or Operating Systems.

My main concern is ....
Mobo+CPU+RAM+ (Graphics if the choice does not include Integrated Graphics.)
If there is an Inexpensive CPU cooler that is significantly better than stock, feel free to mention it.
Overclocking is a secondary concern, since performance is not critical.

I would like the system to be as fast or faster than a Q6600 @ 3.0 Ghz, however.
This system will be complementing a Q6600 8GB system I built a couple years ago and do not want this system to be slower.

    CPU: X4 955 $160
    Same board and RAM

    Total: $475
