Help needed with P5GD1-VM upgrade

I have a computer that I purchased in 2005 and have couple of questions concerning upgrades.

Computer Info:
P5GD1-VM / P4 530 w/HT 3.0 GHz, 1 MB Cache, LGA755 Socket

2 sticks of Mushkin Enhanced Essentials 512MB 184-Pin DDR SDRAM DDR 400 (PC 3200)

nVidia 6600

Question 1: I would like to upgrade the memory with 2 1G sticks. ASUS only has one vendor listed as certified and I cannot find the product. Also, I would prefer to stick with the brand I have in the machine. Will this memory work? If not I will just go with the same in 512.

Question 2: Is upgrading the CPU to 64 bit going to buy me a lot? First I cannot find the recommended CPU. Second, Not sure if I would have the memory to support it and a new MB and CPU is a better investment.

    For under $150 you can get a new mobo/CPU and RAM.

    G.SKILL Ripjaws Series 4GB

    Or for a little more
    BIOSTAR A880G+ AM3 + AMD Athlon II X3 450
