GSKILL 4GB (2x2GB) 1066 5-5-5-15 @ 2.1V Memory Problems

I get this message "cpu settings have changed" on my Zotac MB rated for 800 MHZ DDR2 memory. The system shuts down before I can play with the CMOS setup. what is the solution?

I don't know. I'm not a newbie to building computers but have only set Cmos for boot drives and startup options such as Num Lock. I have never played with Dimm settings but from all the reading on forums, it seems to me I need to adjust the mem sticks speed down to 800 MHZ. I see things like timing, CAS Latency, multiplier, voltage .
From the MB manual, I know the FSB is 1333 and max DIMM speed is 800 MHZ
By the way this is a new build with a new MB, PwrSupply and new, to me,
Pentium D 800 MHZ CPU and 2x2 1066 5-5-5-15 GSkill memory. I can't get into CMOS for more than 10 seconds before it shuts down. The only solution I can see is to boot into setup and change something real quick and then save and exit and then reboot again and change something else. Sounds dumb don't it. So what I need to know is what to change and in what order. I've turned off the HDs and tried using only 1 mem stick.
