If you are ok with only one PCI-E X1, 4 SATA ports and the RAM being stuck at 1600, go with the ASRock.

If you don't need the extra PCI-E X16 or the E-SATA, go with the ASUS.

I would go with the ASUS myself (I love all solid capacitors), but I'd still be a bit sketchy of both of them since neither has onboard video. If the video card dies, you can't use the computer. Lame.
